We love our stockists, and are always happy to welcome new partners to the panda family. If you've already been accepted, this page lays out a few important items to note:

Shipping

We offer USPS Standard shipping free on every order, even to international destinations. Additional shipping options are available if desired.

Lifetime Warranty

All Panda products are protected by our Lifetime Warranty against manufacturing defects in materials and workmanship; retailers should have customers contact us directly about any warranty claims.

Returns

All customers purchasing directly from WearPanda, including retailers, have 60 days from the date of purchase to return any Panda products still in new condition for a no-questions-asked refund. Retailers are welcome to offer return coverage to their own customers as they see fit, but products purchased in retail stores will not be eligible for return on the WearPanda website.

Pricing Restrictions

To help maintain the continuity of the brand, Panda products may not be offered for sale at amounts under their MSRP for periods exceeding 1 week, or for more than 2 weeks a month. Sales are limited to a 20% discount against MSRP. Products may be listed in foreign currencies provided these guidelines are followed, in which case conversion rates must be updated at least monthly.

Marketing Restrictions

We do not offer private label products at this time; all Panda products sold must be clearly identifiable as ours.

To avoid cannibalizing sales, wholesale partners are prohibited from engaging in online advertising (PPC, SEM, etc.) targeting the terms "panda", "bamboo sunglasses", "bamboo watches", or other terms that would put the ads in clear competition against ads WearPanda.com is running or could reasonably be expected to be interested in pursuing.

We also require that product descriptions not be carbon copies of what is presented on our site.

Property and Delivery of Goods

All goods are sold on ex-Wear Panda warehouse basis. The property of the goods passes to the purchaser only after the price of goods has been paid in full. The risk of the goods passes to the purchaser on dispatch. The price is ex our premises, and includes all amounts charged to this point.

Liabilities

Wear Panda will not be liable for any damages or losses resulting from an act or omission. Our total liability for any breach of these Terms and Conditions or other contractual obligations or duties at law is limited, at our option, to the repair or replacement of, or to the cost of repairing or replacing, the goods in question.

Indemnity

You agree to indemnify and hold us harmless for any claims by you or any third party which may arise from or relate to this Agreement or our relationship. You also agree that you have a duty to defend us against such claims and we may require you to pay for an attorney(s) of our choice in such cases. You agree that this indemnity extends to requiring you to pay for our reasonable attorneys' fees, court costs, and disbursements. In the event of a claim such as one described in this paragraph, we may elect to settle with the party/parties making the claim, and you shall be liable for the damages as though we had proceeded with a trial.

You also agree to indemnify us for any damages caused to us as a direct result of our relationship. You also agree to indemnify us for any damages caused to us by your use of our product. Please take notice that our sunglasses are not medical devices.

Right of Refusal

Wear Panda reserves the right to refuse service or credit at our discretion.
